OpenSea to SEC: ‘We’re not exchanges’

This week, OpenSea requested the U.S. Securities and Alternate Fee (SEC) to formally declare that NFTs aren’t “exchanges or brokers” underneath U.S. securities regulation.

In a letter to SEC Commissioner Hester Peirce, OpenSea argued that NFTs often have just one vendor per token — so platforms like theirs don’t operate like conventional inventory exchanges or brokers.

They emphasised that each one NFT transactions occur on-chain through good contracts, with OpenSea merely appearing as a discovery device—not an middleman, custodian, or advice-giver.
